Who we are
These terms and conditions are those of HomeINN B.V., with its registered office at Rosestraat 1321, 3071 AL Rotterdam, registered in the trade register under Chamber of Commerce (KvK) number 96713437, VAT identification number NL867727548B01. Contact: info@homeinn.nl and +31 6 33 32 22 57.
Applicability
These terms apply to all quotations, offers, agreements and services of HomeINN. Deviations apply only where HomeINN has confirmed them in writing. The applicability of purchasing or other terms of the other party is expressly rejected. We make these terms available before the agreement is concluded; they can be consulted at any time on this page.
Services
HomeINN is engaged in the purchase and sale of real estate, property development, letting and letting agency, property management, attracting participation by investors in its own development projects and related services. The exact scope of an assignment follows from the quotation, purchase agreement or order confirmation. Offers are without obligation and valid for the period stated therein; where none is stated, for thirty days.
Participation in a development project
Participation in a development project is governed exclusively by the provisions of the relevant private agreement. Participation is an investment: the return is not guaranteed and the contribution may be lost in whole or in part. Participation is open exclusively to professional market parties: from €100,000 in a single amount per participant. Information on this website and in project documentation is an invitation to discuss and not an offer; where the private agreement deviates from these terms, that agreement prevails.
Formation and duration
An agreement is formed as soon as the order confirmation has been accepted by both parties in writing or by e-mail. Management agreements are entered into for an indefinite period, unless agreed otherwise. Stated performance periods — renovation, completion, onboarding of management — are indicative and never of the essence, unless expressly recorded otherwise. This expressly does not apply to the response and proposal periods we state on our website: that you receive a response within four hours on working days and a substantiated proposal within 48 hours of the inspection is our commitment. If we fail to meet it, please let us know.
Fees and payment
Fees are communicated transparently in advance and are exclusive of VAT, unless stated otherwise. To consumers we communicate fees inclusive of VAT. Invoices must be paid within fourteen days of the invoice date. In the event of late payment, the other party is in default without notice of default being required, and statutory (commercial) interest and extrajudicial collection costs in accordance with the Dutch Extrajudicial Collection Costs (Standards) Act (Wet normering buitengerechtelijke incassokosten) are payable. Additional work is charged only where it has been agreed in advance or logically follows from the assignment.
Notice and termination
Agreements for an indefinite period may be terminated by either party in writing subject to a notice period of one calendar month, effective at the end of a month. For an assignment for a specific project, the agreement ends upon completion. Either party may terminate the agreement with immediate effect if the other party has been declared bankrupt, has been granted a suspension of payments or ceases its business. Obligations which by their nature continue — such as confidentiality and liability — remain in force after termination.
Liability
HomeINN undertakes to carry out its work with due care. Liability is limited to direct loss demonstrably arising from an attributable failure. In all cases liability is limited to the amount paid out by HomeINN's liability insurer in the case concerned, plus the excess. If the insurer does not pay out, liability is limited to the amount invoiced for the assignment concerned over the twelve months preceding the event giving rise to the loss. Liability for indirect loss, including consequential loss, lost profit and lost savings, is excluded. These limitations do not apply in the event of intent or deliberate recklessness on the part of HomeINN or its managers.
Force majeure
If HomeINN is unable to perform its obligations owing to a circumstance not attributable to it — such as government measures, failures at suppliers, extreme weather conditions or the failure of utilities — those obligations are suspended for as long as the force majeure lasts. If the force majeure lasts longer than sixty days, either party may terminate the agreement in respect of the unperformed part, without any obligation to pay compensation arising.
Complaints
If you are not satisfied, please report this within a reasonable time after you have discovered the defect or could reasonably have discovered it, by e-mail to info@homeinn.nl; for consumers, notification within two months is in any event timely. We confirm receipt within five working days and aim to respond substantively within four weeks. A complaint does not suspend the payment obligation.
Consumers' right of withdrawal
If, as a consumer, you conclude an agreement for a service with HomeINN at a distance (for example via this website or by telephone), you have the statutory right to withdraw from that agreement within fourteen days without giving reasons. If you ask us to start the service within that period, you pay a proportionate amount for the work already carried out. The right of withdrawal does not apply to the purchase or sale of real estate.
Personal data
We process personal data as described in our privacy policy. Where we process personal data on behalf of the other party, we enter into a data processing agreement for that purpose in accordance with Article 28 GDPR (AVG).
Amendment of these terms
HomeINN may amend these terms. Amended terms apply to new agreements from the effective date stated on this page. For existing agreements an amendment takes effect only thirty days after we have informed the other party of it; if the amendment is not acceptable to the other party, it may terminate the agreement within that period.
Governing law and competent court
All agreements with HomeINN are governed exclusively by Dutch law. Disputes are submitted to the competent court of the District Court of Rotterdam, unless mandatory law designates another court. The parties undertake to first attempt to resolve a dispute by mutual consultation.
